1. Parties and Agreement

These Terms and Conditions ("Terms") constitute a legally binding agreement between:

• Service Provider: Axiscrest Global FZE LLC, registered under Licence No. 262843696888, CWS-1V-000384, Amber Gem Tower, Ajman, UAE ("Company", "we", "us")
• Client: The individual or entity using our services ("you", "client")

2. Nature of Services

SmartSetupUAE.ae is a private business consultancy. We are not a government body, freezone authority, or official UAE government representative. Our services include:

• Advisory services for UAE business formation (free zone and mainland)
• Document preparation and submission assistance
• Company name availability checking with freezone authorities
• Liaison with UAE freezone authorities and government departments on your behalf
• Visa and Emirates ID application assistance
• Post-incorporation support

3. Client Obligations

By engaging our services, you agree to:

• Provide accurate, complete, and truthful information at all times
• Submit genuine identification documents (any fraudulent documents will result in immediate termination of services with no refund)
• Respond promptly to requests for additional information or documents
• Inform us immediately of any changes to your personal details, business activities, or requirements
• Be solely responsible for the accuracy of company name preferences and business activities submitted
• Make payments within the agreed timeframes
• Ensure you are legally eligible to operate the selected business activities in the UAE

4. Fees and Payment

4.1 Advisory Fee

For the first 500 clients, our advisory fee is AED 0 (waived). The fee displayed at checkout is the official government/freezone authority fee, not our margin.

4.2 Pre-booking Deposit

The AED 999 pre-booking deposit secures your advisory slot and initiates the name availability check. This deposit is applied toward your total fees. See Section 5 for refund terms.

4.3 Government Fees

Government and freezone authority fees are set by the respective authorities and are subject to change without notice. We will notify you of any fee changes before proceeding with your application.

4.4 Payment Timing

Full payment is due within 7 days of company name confirmation. Failure to pay within this period may result in name reservation expiry, for which we bear no liability.

5. Cancellation and Refund Policy

See the full Refund Policy tab for complete details. Summary:

• AED 999 deposit is refundable only if none of your 5 company name preferences are available
• Once a company name is confirmed and reserved, the deposit is non-refundable
• Government fees paid to authorities are non-refundable in all circumstances

6. Service Timeline

Indicative processing times are based on freezone authority standards and are provided in good faith. We do not guarantee specific completion dates. Factors outside our control — including authority backlogs, public holidays, additional document requests, or security checks — may extend processing times. We will keep you informed of any delays.

7. Limitation of Liability

To the maximum extent permitted by UAE law:

• We are not liable for decisions made by UAE government authorities, freezone authorities, banks, or other third parties
• We are not liable for losses arising from delays, rejections, or changes in government policy
• Our total liability to you for any claim shall not exceed the amount you have paid to us for the specific service giving rise to the claim
• We are not liable for indirect, consequential, or incidental losses including lost profits or business opportunities
• We are not liable for visa refusals, licence rejections, or bank account opening refusals, as these are decisions made solely by the relevant authorities

8. Intellectual Property

All content on SmartSetupUAE.ae — including text, pricing data, zone comparisons, software, and design — is the property of Axiscrest Global FZE LLC. You may not copy, reproduce, or distribute our content without written permission.

9. Confidentiality

We maintain strict confidentiality over all client information. Our staff are bound by confidentiality obligations. Document reviewers access reference IDs only — client names and contact details are never disclosed to review staff.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising shall be subject to the exclusive jurisdiction of the courts of Ajman, UAE. We encourage amicable resolution of disputes — contact us first at admin@smartsetupuae.ae.

11. Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, government sanctions, pandemics, cyber attacks, or changes in UAE law or regulation.

12. Amendments

We reserve the right to amend these Terms at any time. Continued use of our services after publication of amended Terms constitutes acceptance. Material changes affecting active engagements will be communicated directly.

13. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Disclaimer, constitute the entire agreement between you and us relating to your use of our services and supersede all prior agreements or representations.

The reason the deposit becomes non-refundable upon name confirmation is that the freezone authority charges a non-recoverable name reservation fee from the moment the name is formally reserved. This fee is a direct cost we incur on your behalf.

For the first 500 clients, our advisory fee is AED 0. When charged, our advisory fee is non-refundable once the advisory service has commenced (i.e., once we have begun processing your application, prepared documents, or communicated with an authority on your behalf).

4. Cancellation Before Application Submission

If you cancel before we submit your application to any authority and before a name is reserved:

• AED 999 deposit is refundable in full (within 7 business days)
• No cancellation fee applies
• Cancellation must be communicated in writing via email or WhatsApp

5. Application Rejected by Authority

If your application is rejected by the freezone authority or DED for reasons within our control (e.g., we submitted incorrect documents), we will resubmit at no additional cost or provide a partial refund of our advisory fee. If the rejection is due to reasons outside our control (e.g., your activity is prohibited, your nationality faces restrictions, or the authority changes its criteria), government fees already paid are non-refundable.

6. Visa Application Refunds

Visa application fees paid to the immigration authority (ICA/GDRFA) are non-refundable once the application is submitted, regardless of outcome. Medical fitness test fees and Emirates ID fees are similarly non-refundable once initiated.

7. Refund Process

To request a refund:

3. State your reason for requesting a refund
4. We will assess your request within 3 business days
5. Approved refunds are processed within 7 business days to the original payment method

8. Chargebacks

We ask that you contact us directly before initiating a chargeback with your bank. Unauthorised chargebacks that do not fall within our refund policy will be contested with supporting documentation.

9. No Refund for Change of Mind (Post-Confirmation)

UAE business formation involves binding government processes. Once a company name is reserved with an authority, that reservation is legally binding and involves irrecoverable government fees. We cannot refund on the basis of a change in business plans, relocation, or personal circumstances after name confirmation.

Freezone and government fees displayed on this website are based on officially published rates at the time of last update. These fees:

• Are subject to change by the relevant authorities without prior notice
• May vary based on specific activities, visa packages, office requirements, or special promotions
• Are indicative starting prices; exact costs will be confirmed in your formal quotation
• Exclude VAT on government fees unless stated (government fees for freezone setup are currently zero-rated for VAT purposes in most cases)

4. No Guarantee of Outcomes

We cannot guarantee:

• Approval of any business licence application
• Availability of any specific company name
• Approval of any visa application
• Opening of a UAE bank account (bank account opening is at the sole discretion of the bank)
• Any specific processing timeline
• That a specific business activity will be approved by the freezone authority

5. Third-Party Links

Our website may link to official freezone websites and UAE government portals. We are not responsible for the content, accuracy, or availability of third-party websites. Such links do not constitute endorsement.

6. AI Activity Search Tool

Our AI-powered activity search and zone recommendation tool provides suggestions based on our database. These suggestions are indicative and may not reflect the exact activity list of any freezone authority at any given time. Activity availability must be confirmed with the relevant authority before application. We are not liable for decisions made based solely on AI search results.
